Terms & Conditions
Last Updated: 14 April 2025 · Effective Date: 14 April 2025
These Terms and Conditions set out the basis on which Compass Loom provides advisory services and operates this website. By using this website or engaging our services, you agree to the terms described below. Please read them before proceeding.
1. About Us
Compass Loom is a business advisory firm registered in Malaysia and operating from 2-1, Jalan Telawi 3, Bangsar Baru, 59100 Kuala Lumpur. We provide strategic advisory, capability planning support, and quarterly review accompaniment to small and mid-sized organisations.
References to "we", "us", or "our" in these Terms mean Compass Loom. References to "you" or "your" mean the individual or organisation accessing this website or engaging our services.
2. Scope of These Terms
These Terms apply to:
- Your use of this website and all content published on it.
- Any enquiry, proposal, or engagement entered into between you and Compass Loom.
- Any written deliverables, advisory sessions, or supporting documents we provide in the course of an engagement.
Where a separate written engagement agreement is in place between Compass Loom and a client organisation, the terms of that agreement govern the engagement. These website Terms apply to all other matters not addressed in that agreement.
3. Our Services
Compass Loom provides advisory services in the nature of strategic direction support, capability planning notes, and structured quarterly review accompaniment. These services are described more fully on our Services page.
Our services are advisory in nature. We do not hold ourselves out as providing legal, financial, medical, or other regulated professional services. Nothing in our deliverables or on this website should be read as legal advice, financial advice, investment advice, or a substitute for qualified professional guidance in those fields.
Outcomes from any advisory engagement depend in part on decisions made by the client organisation. We do not represent or warrant that any specific result will follow from our work.
4. Engagements and Payment
4.1 Engagement Basis
Each engagement begins on the terms agreed in a written proposal or engagement letter issued by Compass Loom and accepted by the client. The proposal sets out the scope, deliverables, timeline, and fees applicable to that engagement.
4.2 Fees and Payment
Our published service prices are stated in Malaysian Ringgit (RM) and are exclusive of any applicable taxes unless stated otherwise. Payment terms are set out in each engagement proposal. We reserve the right to pause work if payments are not received in accordance with agreed terms.
4.3 Scope Changes
Material changes to the agreed scope of an engagement — including additional interviews, additional review rounds, or extended timelines — may require a revised fee arrangement. We will discuss any such changes with you before proceeding.
4.4 Subscription Engagements
The Quarterly Strategic Companion service operates on a monthly subscription basis. Either party may bring a subscription to a close by giving written notice in accordance with the terms set out in the engagement agreement. Fees accrued up to the date of notice remain payable.
5. Confidentiality
We treat all information shared by client organisations in the course of an engagement as confidential. We will not share such information with third parties except as necessary to perform the engagement (for example, where a subject-matter specialist is brought in with your knowledge) or as required by law.
Client organisations are similarly asked to treat draft deliverables, working documents, and unpublished advisory notes as confidential until the engagement is concluded.
These obligations survive the end of any engagement.
6. Intellectual Property
All content on this website — including written text, structural layouts, service descriptions, and graphic elements — is owned by or licensed to Compass Loom. You may not reproduce, adapt, or redistribute website content without our prior written agreement.
Deliverables produced in the course of a client engagement are provided for the internal use of the client organisation. Ownership and permitted use are set out in the engagement agreement. Unless otherwise agreed, clients may use deliverables internally but may not offer them to third parties as products or services.
Compass Loom retains the right to reference the nature of engagements — without identifying clients — in general descriptions of our work and experience.
7. Website Use
7.1 Permitted Use
You may use this website to learn about Compass Loom, read about our services, and submit an enquiry. You agree not to use this website in any way that is unlawful, disruptive, or harmful to others.
7.2 Accuracy of Content
We take care to keep the information on this website current and accurate, but we do not warrant that all content is complete or error-free at all times. Service descriptions, pricing, and availability are subject to change. Current details are confirmed in engagement proposals.
7.3 Links to Other Websites
This website may contain links to external websites for your reference. We are not responsible for the content, availability, or practices of those websites and do not endorse them by linking to them.
7.4 Cookies
We use cookies to support basic website functionality and to understand how visitors use the site. For details, please see our Cookie Policy.
8. Limitation of Liability
To the extent permitted by Malaysian law, Compass Loom's liability arising from any engagement or from use of this website is limited to the fees paid to us under the relevant engagement in the twelve months preceding the claim.
We are not liable for indirect, consequential, or incidental losses, including loss of anticipated savings, loss of opportunity, or reputational harm, whether arising in contract, tort, or otherwise.
Nothing in these Terms limits our liability for fraud, for death or personal injury caused by our negligence, or for any liability that cannot be excluded under Malaysian law.
9. Governing Law
These Terms are governed by the laws of Malaysia. Any disputes arising under or in connection with these Terms will be subject to the exclusive jurisdiction of the courts of Malaysia, unless otherwise agreed in writing between the parties.
10. Changes to These Terms
We may update these Terms from time to time. The revised version will be published on this page with an updated "Last Updated" date. Continued use of this website after changes are published constitutes your acceptance of the revised Terms. For ongoing client engagements, changes to these Terms do not affect the terms of the engagement agreement already in place.
